Terms of Service

These Terms of Service (“Terms”) govern your use of the websites, applications, integrations, automation systems, and digital services operated by Big Ideas, Inc. (“Big Ideas,” “we,” “us,” or “our”).
By using our website, engaging Big Ideas for services, or authorizing access to a third-party account or platform, you agree to these Terms.
About Big Ideas
Big Ideas, Inc. provides digital services to businesses, including website development, hosting, search engine optimization, content creation, digital marketing, analytics, automation, account management, and integrations with third-party platforms.
Our services may include software, automated workflows, artificial intelligence-assisted systems, APIs, content-management systems, and connections to services operated by third parties.
Eligibility
You must be legally able to enter into an agreement to use our services.
If you use our services on behalf of a company, organization, or other entity, you represent that you have authority to act on behalf of that entity and to authorize Big Ideas to perform the requested services.
Client Authorization
When you authorize Big Ideas to manage or access a website, Google Business Profile, social media account, analytics property, advertising account, content-management system, hosting account, domain, or other digital property, you represent that:
- You own the account or property or have authority to grant us access.
- The information you provide is accurate.
- You authorize Big Ideas to perform the services agreed upon for that property.
- You will not ask Big Ideas to perform activities that violate applicable law or third-party platform policies.
Big Ideas may rely on permissions granted through account-management systems, OAuth authorization, API credentials, administrator access, or other approved methods.
Google Business Profile and Google API Services
Big Ideas may provide services that connect to Google Business Profile and other Google APIs.
When an authorized user grants access, Big Ideas may use permitted Google API data to provide services such as:
- Managing authorized Business Profiles
- Reading or updating business information
- Reviewing Business Profile posts and media
- Retrieving client-owned photos or other media
- Reviewing performance or engagement data where available
- Identifying marketing and content opportunities
- Coordinating website content with Business Profile content
- Publishing or updating Business Profile content when authorized
- Operating automated content or marketing workflows
Use of Google data is also governed by our Privacy Policy.
Big Ideas’ use of information received from Google APIs will comply with the Google API Services User Data Policy, including applicable Limited Use requirements.
Authorization may be revoked by the authorized Google user at any time. Revoking access may cause integrations or automated services to stop functioning.
Third-Party Platforms
Our services may connect with or rely on third-party platforms, including but not limited to:
- Meta/Facebook
- Cloudflare
- GitHub
- Content-management systems
- Hosting providers
- Email platforms
- Analytics providers
- Database providers
- Artificial intelligence services
- Other marketing or business software
Your use of those platforms remains subject to their respective terms, policies, availability, and technical limitations.
Big Ideas does not control third-party platforms and is not responsible for changes, interruptions, restrictions, suspensions, API limitations, outages, or policy changes imposed by those providers.
Automated and AI-Assisted Services
Some Big Ideas services may use automation or artificial intelligence to assist with tasks such as:
- Content creation
- Search engine optimization
- Research
- Website maintenance
- Data analysis
- Internal linking
- Reporting
- Image or media selection
- Content scheduling
- Business Profile content
- Social media content
Automated systems may make mistakes.
Big Ideas may implement review, validation, testing, or approval processes intended to reduce errors, but we do not guarantee that automated output will always be complete, accurate, error-free, or appropriate for every purpose.
Clients remain responsible for informing Big Ideas of material changes to their business, including changes to services, pricing, hours, policies, locations, employees, licensing, or other facts that may affect published content.
Website and Content Services
Unless otherwise agreed in writing, Big Ideas may create, edit, optimize, migrate, publish, or maintain website content as part of our services.
Clients are responsible for ensuring that information supplied to Big Ideas is accurate and that they have the right to use materials they provide, including:
- Text
- Photographs
- Videos
- Logos
- Trademarks
- Graphics
- Product information
- Testimonials
- Business information
Big Ideas may refuse to publish material that we reasonably believe violates law, intellectual-property rights, platform policies, or these Terms.
Search Engine Optimization
Search engine rankings, traffic, leads, visibility, and revenue are influenced by many factors outside our control.
Big Ideas does not guarantee:
- Specific search rankings
- First-page placement
- Inclusion in AI-generated search results
- Specific traffic levels
- Specific lead volume
- Specific sales or revenue
- Continued indexing by a search engine
Search engines and AI platforms may change their algorithms, policies, presentation, ranking systems, or indexing behavior at any time.
Business Profile and Platform Results
Similarly, Big Ideas does not guarantee:
- Google Business Profile rankings
- Map Pack placement
- Approval of Business Profile edits
- Acceptance of posts or media
- Continued API availability
- Specific impressions, calls, clicks, or engagement
Third-party platforms retain control over their own systems.
Client Responsibilities
Clients agree to:
- Provide accurate business information
- Maintain necessary licenses and legal authority to operate their business
- Promptly notify Big Ideas of material business changes
- Maintain appropriate access to accounts necessary for requested services
- Review important business, legal, pricing, scheduling, and policy information when appropriate
- Comply with applicable laws and platform requirements
Account Security
Clients are responsible for maintaining appropriate security for accounts they control.
Big Ideas may use secure authorization mechanisms such as OAuth, API tokens, encrypted credentials, access controls, or delegated account permissions.
Clients should not send passwords or sensitive credentials through insecure communication channels unless specifically instructed to use an approved secure method.
Big Ideas may revoke or disable access to an integration when necessary to protect security or comply with platform requirements.
Intellectual Property
Client Materials
Clients retain ownership of materials they provide to Big Ideas unless otherwise agreed in writing.
By providing materials to Big Ideas, the client grants us permission to use, reproduce, modify, optimize, publish, and distribute those materials as reasonably necessary to provide the requested services.
Big Ideas Materials
Big Ideas retains ownership of its pre-existing intellectual property, including:
- Internal processes
- Software
- Automation systems
- Templates
- Libraries
- Frameworks
- Scripts
- Methods
- Documentation
- Reusable code
- Research processes
- Proprietary tools
Unless otherwise agreed in writing, a client receives rights to the final client-specific deliverables for which it has paid, but does not obtain ownership of Big Ideas’ underlying reusable systems or internal tools.
Fees and Payment
Fees, billing schedules, retainers, project charges, hosting fees, advertising budgets, subscription costs, and other payment terms may be established separately in proposals, invoices, statements of work, service agreements, or other written communications.
Clients are responsible for paying agreed charges when due.
Third-party costs may be billed separately or paid directly by the client.
Suspension or Termination
Big Ideas may suspend or terminate services if:
- Required payments are overdue
- A client requests unlawful or prohibited activity
- Continued access creates a security risk
- A third-party platform revokes required access
- A client materially violates these Terms
- Continuing the service becomes technically or legally impractical
Clients may terminate services according to any applicable agreement with Big Ideas.
Termination may cause websites, automation systems, APIs, hosting, account integrations, or other services to stop functioning.
Data and Account Access After Termination
Following termination, Big Ideas may revoke API connections, remove credentials, discontinue automation, or delete information no longer necessary for legitimate business or legal purposes.

Confidentiality
Big Ideas will use reasonable care to protect confidential client information received in connection with our services.
Clients agree not to disclose Big Ideas confidential information, proprietary systems, credentials, internal documentation, or non-public technical information without authorization.
This section does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
Availability and Service Changes
We may modify, update, replace, suspend, or discontinue portions of our services when reasonably necessary.
We do not guarantee uninterrupted availability of websites, APIs, automation systems, hosting platforms, third-party services, or external integrations.
Maintenance, outages, vendor changes, security incidents, platform restrictions, or circumstances outside our control may temporarily affect service availability.
Disclaimer of Warranties
To the maximum extent permitted by law, Big Ideas provides its website, applications, automation systems, and services on an “as is” and “as available” basis except where a separate written agreement states otherwise.
We do not warrant that every service will be uninterrupted, error-free, secure, or suitable for every particular purpose.
Limitation of Liability
To the maximum extent permitted by applicable law, Big Ideas will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the use or inability to use our services.
This includes, without limitation, losses resulting from:
- Search ranking changes
- Platform suspensions
- Third-party outages
- API changes
- Lost traffic
- Lost leads
- Lost revenue
- Data loss
- Content errors
- Service interruptions
Where liability cannot legally be excluded, Big Ideas’ liability will be limited to the maximum extent permitted by law.
Indemnification
You agree to indemnify and hold harmless Big Ideas, Inc., its officers, employees, contractors, and agents from claims arising from:
- Materials you provide to us
- Your violation of these Terms
- Your violation of applicable law
- Your violation of third-party rights
- Unauthorized instructions or account access provided by you
Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Any dispute relating to these Terms or our services will be subject to the applicable courts located in Florida unless another written agreement requires a different dispute-resolution procedure.
Changes to These Terms
We may update these Terms periodically to reflect changes in our services, technology, legal requirements, platform integrations, or business practices.
The revised Terms will be posted on this page with an updated effective date.
Continued use of our services after an update constitutes acceptance of the revised Terms to the extent permitted by law.
